Our Governance
The HBSUK Board is the ultimate decision-making body for the company. As a wholly-owned subsidiary within the AXA UK Group, our Board provides leadership and controls our affairs responsibly, working in accordance with AXA Group guidelines.
Our Board is made up of Executive and Non-Executive Directors who are responsible for making sure that:
- We establish a clear strategy and sustainable business model for the future.
- We provide safe, effective, and well-led patient care.
- We manage our risks and oversee a robust control framework.
- We meet all our legal, regulatory, and contractual obligations.
How we make decisions
While the Board sets the company’s overall strategy and risk appetite (within the wider constraints of AXA UK), the day-to-day delivery of our goals is delegated to the Chief Executive Officer (CEO) and the Senior Leadership Team.
Internally, to ensure all material decisions, clinical risks and business issues have clear ownership, we operate a devolved structure of governance committees. These committees ensure full transparency from the Board down through the organisation:
- Care Quality Committee: Monitors, analyses and improves the quality of patient care by reviewing patient experience, clinical outcomes and key quality measures to identify and address significant clinical risks or issues.
- Executive Committee: Ensures excellent stewardship of the business, carrying out the Board’s delegated responsibilities in line with good business practices, regulatory requirements, patient centricity, and a focus on our people.
- Risk, Governance and Audit Committee: Monitors the company’s overall risk framework, compliance position, and audit actions.
- Change Committee: Reviews the performance of our project portfolio and technology pipeline.
- People Committee: Oversees and guides the organisation’s people strategy and key HR initiatives.
- Commercial Committee: Monitors the company’s financial health and growth strategies.
